Transcorp acquires Afam Power for N105 billion

Transnational Corporation of Nigeria Plc (Transcorp) has announced the acquisition of Afam Power thermal power generating company (GenCo), which has 1,000 megawatts (MW) of installed capacity. The announcement was made in a disclosure to Nigerian Stock Exchange (NSE) by Transcorp consortium on Friday.
 
Prior to today's disclosure, the acquisition signing ceremony was held at the State House in Abuja on Thursday. Nigeria’s Vice President, Yemi Osinbajo, represented the Federal Government, while Chairman of Transcorp, Tony O. Elumelu, signed the deal on behalf of the consortium.

"Today marks a milestone for the country with a return to private sector investment in the power sector,” Osinbajo said. “This investment by Transcorp in acquiring Afam Power Plc and Afam Three Fast Power is the first of many new investments planned in the sector across the value chain. We expect that under Transcorp's ownership the operational capacity of the facility will be raised to its full capacity."

According to Transcorp, the acquisition cost for Afam Power Plc, with 966MW installed capacity, and Afam Three Fast Power Limited (jointly referred to as the Afam GenCo), was N105.3 billion. The acquisition has increased the generation assets of Transcorp Power Limited, one of the subsidiaries of Transcorp.

Transcorp Power owns and operates Ughelli Power in Delta State, in which Transcorp invested $300 million to raise its generation capacity from 160MW in 2013 to 700MW as of December 2014. The plant currently has installed capacity of 972MW.

"We have seen the progress that Transcorp has made with the Ughelli Power Plant in raising the operational capacity significantly, since it acquired the plant in 2013, and we expect nothing less from the Afam acquisitions,” Osinbajo added.

Afam Power is one of the six successor GenCos that were incorporated following the unbundling of Power Holding Company of Nigeria (PHCN). The other five are Ughelli Power Plc (earlier acquired by Transcorp), Geregu Power Plc, Sapele Power Plc, Kainji Hydro Electric Plc and Shiroro Hydro Electric Plc.

“Power remains the single most critical factor for lifting our people out of poverty and job creation for our teaming youth. The acquisition marks a significant milestone for Transcorp in the pursuit of its corporate purpose of improving lives and transforming Nigeria,” said Elumelu, who also commended the Federal Government for the role it played in making the acquisition a reality.
